해외 Project- Force Majeure 대응 질의

반갑습니다.
해외 Project, 해외업체와 Sub-contract 공사 계약을 맺고 현재 진행하고 있는 상태인데,
코로나로 인해 발주처로 부터 작업 중단 명령으로 작업이 중단된 상태이나 곧 재재 예정입니다.
그리고 코로나 확진자 증가 및 확산으로 인해 정상적으로 Project 가 진행되지 못하고 있는 상태로, 계약 공기보다 많이 지연될 것으로 예상되고 있습니다.

따라서 공사중단 기간에 대한 피해보상과 Extension of Time, 그리고 이에 대한 Claim 을 사전 준비하고자 합니다. 질의 내용은,
1. 아래 Cl.37.7 항에 따르면 코로나-FM 로 인한 공사중단과 공기연장시 피해 보상은 청구하지 못하는 것으로 이해되는데 의견 바랍니다.
2. EOT 진행에 대한 조언 부탁 드립니다.

37 Force Majeure
37.1 When used in the Subcontract, “Force Majeure” shall mean an exceptional event or circumstance which:
(a) directly affects the Subcontract Works being performed at Site; and
(b) is beyond the control of the Party claiming the existence of Force Majeure; and
(c) could not have been reasonably foreseen by the Party claiming the existence of Force Majeure at or before the Subcontract Effective
Date; and
(d) could not have been reasonably avoided or overcome by the Party claiming Force Majeure; and
(e) is not attributable to the fault or negligence of the Party claiming the existence of Force Majeure; and
(f) which renders either or both Parties unable, wholly or in part, to comply with their obligations under the Subcontract.
However, any event which is determined to be a force majeure event under the Contract, shall be considered as a Force Majeure under the
Subcontract without any further proof or substantiation by either Party.
37.2 Notwithstanding Article 37.1, the Parties agree that the following events shall not constitute a Force Majeure:
(a) any financial distress of either Party; or
(b) any weather condition regardless of severity; or
(c) any risk or liability which is assumed by the Subcontractor pursuant to the Subcontract; or
(d) anything which results from compliance (or non-compliance) with any Applicable Laws; or
(e) any inability of the Subcontractor, Lower Tier Subcontractor or their employees or agents to obtain any permit, quota, visa, license, or
clearance from any Governmental Authority; or
(f) shortage of labour, Materials or Construction Equipment; or
(g) boycotts or strikes, lockouts or other industrial disputes between or amongst the Subcontractor, Lower Tier Subcontractor and their employees or agents.
37.3 If a Party is unable to perform Subcontractor’s obligations, in whole or in part, under the Subcontract due to Force Majeure, then the affected Party shall, within five (5) days from the start of such event, give a notice to the other Party of the existence of Force Majeure and the anticipated effect on the performance of the Subcontract. The obligations affected by a Force Majeure shall be deemed suspended from the date of the Force Majeure mentioned in the notice by the other Party and for as long as the Force Majeure continues.
37.4 As soon as practicable, the Party affected by the Force Majeure shall provide the other Party with detailed evidence of the Force Majeure to adequately substantiate the existence of the Force Majeure.
37.5 The Party affected by the Force Majeure shall use its best efforts to mitigate the effects of the Force Majeure on the Subcontract.
37.6 If the Subcontract Schedule is affected by the Force Majeure, the Subcontractor’s entitlement to receive any adjustment to the Key Milestone Dates shall be determined in accordance Article 27.9.
37.7 Under no circumstances whatsoever shall the Subcontract Price be increased or the Subcontractor be entitled to any cost compensation arising out of or in connection with Force Majeure.
37.8 In the event Force Majeure prevents performance of the whole or a substantial part of the Subcontract for a continuous period of ninety (90) days or an aggregate period of one hundred and eighty (180) days, the Contractor shall have the right to terminate the Subcontract. In case
the Contractor elects to exercise this right to terminate the Subcontract, the termination shall be effected in accordance with Article 39.1(c)
subject always to Article 37.7.

발주자의 공사 중단 명령은 Force Majeure가 아닙니다.
공사 중단 명령이 하도급자의 귀책사유 때문이 아니라면, 하도급자는 공사 중단 기간에 대해 공기연장 및 현관비 보상을 청구할 권리가 있습니다.
다만, 발주처의 공사 재개 명령 이후에도 코로나 확진자 증가 및 확산으로 인해 정상적으로 Project 가 진행되지 못하고 계약 공기보다 많이 지연될 것으로 예상 된다면 이 부분은 상세한 검토가 필요합니다. 즉, 코로나 방지를 위해 현지 정부, 발주자 및 원도급자의 강화된 건설 현장 운영 지침 중 1) Change in Laws, Employer's instructions and/or Contractor's instruction 등으로 간주할 수 있는 항목이 있고, 2) 해당 change in laws, employer's instructions and/or contractor's instruction 항목이 하도급 계약의 Variation 조건에 해당된다면 valuation of variation을 통해 공기 / 도급액 증액을 요구할 수 있을 것입니다. 그 외의 경우라면 보상 청구는 어려울 것으로 판단됩니다.

위 답변 댓글 (저희 SCL Korea 의 편영준 위원장님이신 것으로 이해됨) 에 원칙적으로 동의합니다. 특히 위 FM 조항만 본다면 제37.6조에 의하여 EOT는 가능할 수 있지만, 제37.7조에 의하여 cost claim은 어려울 것으로 보입니다. 나아가 EOT의 경우에도 공사 재개 후 공사를 하는 것이 (제37.3조에 따라) "unable"한 것이 아니고 (제37.2조에 따라) 코로나 social distance 법규 / 지침에 따라 어느 정도 제한되는 것이라면 최초 질의에서 우려하신 데로 EOT도 받기 어려우실 수 있습니다.  그렇기 때문에 위 댓글에서 적절히 지적하셨듯이 change of law 등 계약상 다른 조항, 혹은 계약 준거법상 어려운 상황의 시공사를 구제하는 법리가 있는지 여부를 검토하실 필요가 있어 보입니다. (예컨대, 준거법이 한국법이라면 위 계약 조항에도 불구하고 시공사를 위한 법리가 있을 수 있습니다.)
현 상황에서 - 특히 위에서 언급해 주신 간략한 정리 만으로만 보면, 안타깝게도 EOT 대비/준비를 위한 golden rule 이나 short cut 은 없어 보입니다.  이러한 상황에서는, 발주처와 amicable discussion 을 하실 channel 이 있으시면 좋겠지만, 그런 channel이 존재하지 않는다면 발주처와 정식 분쟁도 각오하신다는 자세로, 발주처의 공사 중단 명령 전후하여 발생한 사정들부터 관련 자료들과 함께 꼼꼼히 정리해 놓실 필요가 있습니다.  그리고 cost claim 규모가 크시거나 혹은 발주처가 LD 부과 등을 위협하는 경우에는, 그러한 자료들을 가지고 건설 전문 변호사와 전문가의 자문을 받으시는 것을 추천드립니다.  비용이 드시겠지만, 발주처 - 발주처의 계약 담당자 입장에서도 위와 같은 계약 조항 및 상황에서는 건설사의 사정만 보아주기 어려울 수 있기 때문에 (즉 발주처의 이익을 포기하고 건설사 편을 들었다고 blame 당할 수 있음), 어쩔 수 없는 선택일 수 있습니다.
